Black Fleet Network™ Membership & Sponsorship Terms

Black Fleet Network (“BFN,” “we,” “our”) is a 501(c)(3) nonprofit dedicated to elevating professionals and advancing equity, innovation, and representation across fleet and mobility. These Terms explain what you can expect from us—and what we ask of you—when you purchase a membership or make a sponsorship contribution.

By completing checkout, you agree to these Terms.

1) Who We Are & Who Membership Is For

• BFN centers Black professionals while welcoming anyone aligned with our mission of equity and progress in fleet, mobility, and adjacent sectors.
• Membership may be individual or corporate/organizational (for teams).
• We reserve the right to verify eligibility and decline or revoke membership for violations of these Terms or our Code of Conduct.

2) Term, Renewals, & Cancellations

• Unless otherwise stated at checkout, memberships run for 12 months from the purchase date.
• If noted at checkout, your membership may be set to auto-renew using your saved payment method. We’ll send a reminder in advance. You can cancel auto-renewal any time before the renewal date; benefits continue through the current term.
• Cancellations: memberships are generally non-refundable once purchased (see Refunds below). Sponsorships are non-refundable.

3) Payments, Taxes, & Refunds

• Payments are processed by a third-party provider (e.g., Stripe/Flodesk). We do not store full card details.
• Refunds: Memberships and sponsorships are typically non-refundable. Prorated refunds are not provided except where required by law.
• Tax status: BFN is a 501(c)(3). Membership dues, donations, and sponsorships may be tax-deductible to the extent permitted by law. Please consult a qualified tax professional regarding your situation.

4) Membership Benefits & Changes

• Benefit descriptions reflect our current programming and are subject to reasonable updates to keep content relevant and high-quality.
• Some benefits (e.g., event access, speaking slots, features) may be limited capacity or application-based.
• Access to member resources and visibility is tied to active standing (dues paid and Terms honored).

5) Corporate/Organizational Memberships

• Corporate/organizational memberships allow designated employees/associates to receive benefits. The organization is responsible for maintaining an up-to-date roster of eligible users.
• Corporate visibility opportunities (e.g., “Endorsed Sustainability Provider” features, spotlights) are curated at BFN’s discretion and must meet our endorsement criteria (see §12).

6) Sponsorship Guidelines

• Sponsorships support programs, events, and community initiatives. We strive to deliver all agreed recognition and benefits and maintain editorial independence to protect BFN’s mission.
• Sponsor name/logo usage: we’ll request approved brand assets and usage guidelines; BFN branding must be used as provided.
• Visibility deliverables (e.g., logos on materials, acknowledgments) will follow agreed timelines; event-dependentitems are contingent on the event proceeding as planned (see Force Majeure).
• Sponsorships are non-refundable.

7) Code of Conduct (Applies to Members & Sponsors)

We maintain an environment that is inclusive, non-harassing, non-discriminatory, and mission-aligned. We may moderate or remove access for behavior that undermines safety, dignity, or BFN’s mission, including but not limited to:

• Harassment, hate speech, discrimination, or intimidation
• Misuse of member directories or platforms (spam, scraping, unauthorized solicitation)
• Misrepresentation of affiliation or endorsement

8) Nonpartisan Compliance (501(c)(3))

• BFN is nonpartisan. We do not endorse political parties or candidates.
• We engage in policy education and advocacy tied to our mission (e.g., equity, workforce, clean mobility) consistent with 501(c)(3) rules.

9) Privacy, Communications & Data

• We use your information to provide benefits, send updates, and improve programs. Standard email communications are part of membership; you can manage marketing preferences at any time.
• We comply with applicable privacy laws and use secure, reputable processors. See our Privacy Policy for details.

10) Content, IP, & Likeness

• Member & Sponsor Contributions: By submitting content (e.g., articles, profiles, talks), you grant BFN a non-exclusive, royalty-free license to use, edit for length/clarity, and publish across BFN platforms with attribution.
• Event Media: BFN may capture photo/video at events. Attendance constitutes consent to be photographed/recorded and for BFN to use such media for mission-aligned purposes. If you require an opt-out, please contact us in advance of the event.

11) Confidentiality (Programs & Focus Groups)

• Certain programs, focus groups, or working sessions may involve confidential discussion. Participants agree not to disclose others’ confidential information shared in those contexts without explicit permission.

12) Endorsements & “Endorsed Sustainability Providers”

• Endorsements are earned and curated. To be considered “Endorsed,” providers should demonstrate:

1. Sensitivity and proactive commitment to diverse/underserved communities
2. Adeptness across sectors (public, private, nonprofit, academic)
3. Ongoing innovation that advances industry and community
4. Collaborative participation with BFN toward people-first outcomes
5. Proven record of successful delivery within a larger solution ecosystem
6. Clear equity and inclusion vision in operations and decision-making

• Endorsement may be reassessed if criteria are no longer met.

13) Use of BFN Name & Marks

• Members and sponsors may reference membership/sponsorship in a factual manner. Use of BFN logos or marks requires prior written approval and adherence to brand guidelines.
• No statement may imply BFN’s endorsement of a product, service, or political position unless expressly authorized.

14) Accessibility & Inclusion

• We aim to make programming accessible and welcoming. If you need accommodations (e.g., captioning, mobility access), please contact us ahead of time and we’ll work to support.

15) Disclaimers; Limitation of Liability

• Programs are provided “as is” and “as available.” We strive for high quality and accuracy but do not guarantee outcomes (e.g., job placement, certifications).
• To the fullest extent permitted by law, BFN is not liable for indirect, incidental, or consequential damages. In any case, BFN’s total liability shall not exceed the amount paid by you for the current membership term or sponsorship.

16) Indemnity

You agree to indemnify and hold harmless BFN from claims arising out of your misuse of member benefits, violation of these Terms, or infringement of third-party rights.

17) Force Majeure

BFN is not responsible for delays or changes arising from causes beyond our reasonable control (e.g., extreme weather, public health events, venue closures, supply chain issues). We will make good-faith efforts to deliver equivalent value where possible.

18) Changes to These Terms

We may update these Terms to reflect legal requirements or program improvements. Material changes will be communicated; continuing membership/sponsorship after notice constitutes acceptance.

19) Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. Venue lies in the state or federal courts located in Georgia.
